Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PureEdge Technologies ("Company," "we," "us," or "our") concerning your access to and use of our VoIP and unified communications services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

1. Services Description

PureEdge Technologies provides Voice over Internet Protocol (VoIP) and unified communications services, including but not limited to:

  • Hosted PBX (Private Branch Exchange) systems
  • SIP Trunking services
  • Virtual Auto Attendant
  • Mobile VoIP applications
  • Unified Communications platforms
  • API Integration services
  • Technical support and customer service

2. Account Registration and Security

Account Creation

  • You must provide accurate, complete, and current information during registration
  • You must be at least 18 years old to create an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One person or entity may not maintain more than one account without our permission

Account Responsibilities

You are responsible for:

  • All activities that occur under your account
  • Maintaining the security of your account and password
  • All charges incurred on your account
  • Compliance with all applicable laws and regulations

3. Acceptable Use Policy

Prohibited Activities

You agree NOT to use our services for:

  • Any unlawful purpose or in violation of any applicable laws
  • Transmitting spam, unsolicited communications, or robocalls
  • Harassment, abuse, or threatening behavior
  • Fraud, phishing, or identity theft
  • Distributing malware, viruses, or harmful code
  • Unauthorized access to systems or networks
  • Interfering with or disrupting our services
  • Impersonating any person or entity
  • Violating intellectual property rights
  • TCPA violations or illegal telemarketing

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

4. Service Availability and Limitations

Service Level

While we strive to provide 99.9% uptime, we do not guarantee uninterrupted or error-free service. Scheduled maintenance, upgrades, and unforeseen circumstances may affect service availability.

Emergency Services

Important: VoIP services may not function during power outages or internet disruptions. We recommend maintaining an alternative means of communication for emergencies. E911 service may have limitations compared to traditional phone services.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

5. Billing and Payment Terms

Payment

  • Services are billed in advance on a monthly or annual basis
  • You must provide valid payment information
  • Payment is due upon receipt of invoice
  • We accept credit cards, ACH transfers, and other approved payment methods
  • All fees are in U.S. Dollars unless otherwise specified

Late Payments

Accounts with outstanding balances may be subject to:

  • Service suspension after 15 days past due
  • Late fees of 1.5% per month (or maximum allowed by law)
  • Account termination after 30 days past due
  • Collection agency referral for unpaid balances

Refund Policy

We offer a 30-day money-back guarantee for new customers. After 30 days, fees are non-refundable. Pro-rated refunds may be issued at our discretion for service failures.

Price Changes

We reserve the right to modify our pricing with 30 days' written notice. Continued use of services after price changes constitutes acceptance.

6. Termination

Termination by You

You may cancel your service at any time by providing 30 days' written notice. You will be responsible for all charges incurred until the end of your billing cycle.

Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms of Service
  • Your account has unpaid charges
  • You engage in fraudulent or illegal activities
  • You abuse or threaten our staff or other customers
  • We are required to do so by law

Effect of Termination

Upon termination, your right to use our services will cease immediately. We may delete your data and account information. Outstanding fees remain due and payable.

7. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and designs, are owned by PureEdge Technologies and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without our explicit written permission.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid for services in the past 12 months
  • We are not responsible for damages resulting from service interruptions, data loss, or security breaches
  • You agree to indemnify and hold us harmless from any claims arising from your use of our services

9. Data and Privacy

Your use of our services is subject to our Privacy Policy, which is incorporated into these Terms by reference.

We collect, store, and use call detail records (CDRs) and other service data as necessary to provide services and comply with legal requirements. We implement reasonable security measures but cannot guarantee absolute security of your data.

10. Regulatory Compliance

You agree to comply with all applicable laws and regulations, including:

  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • Federal Communications Commission (FCC) regulations
  • CALEA (Communications Assistance for Law Enforcement Act)
  • State and local telecommunications regulations
  • International telecommunications laws (if applicable)

11. Dispute Resolution and Arbitration

Informal Resolution

Before pursuing formal legal action, you agree to contact us to attempt to resolve any disputes informally.

Binding Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court.

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any legal action must be brought in the state or federal courts located in Luzerne County, Pennsylvania.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or prominent notice on our website. Continued use of services after changes constitutes acceptance of the modified Terms.

15. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PureEdge Technologies regarding the use of our services.

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
